1. Purchase and Investorship

It is a “Sale and Lease Back” model (SLB). At the outset, you acquire ownership of the land, and simultaneously, become a partner in the LLP (limited liability partnership) that holds the lease for your land, valid for thirty years. Your share in the LLP aligns with your villa’s size relative to the total number of villas. The LLP handles construction of the Eco-Stay, using the funds received via your contribution as a partner.

The SLB model differs significantly as you gain land ownership from the start, along with partnership in the LLP that develops and manages the Eco-Stay, akin to being a shareholder in a business venture.

The initial payment covers the land portion upon the land’s transfer at the beginning of the project. Subsequently, the remaining balance will be settled in quarterly instalments throughout the construction period of two years. Your payment covers:

Phase 1 comprising twelve villas, the clubhouse, and the winery, is set to be completed by October 2026. Phase 2 is in the planning stage and will be rolled out at a later date.

Building permissions for Phase 1, the clubhouse and the winery are in place. Construction began in January 2024.

You may sell your property to anyone at any time. The land is transferred to the new owner while the lease to the LLP remains intact. You will exit the LLP, and the new owner will replace you, with our support throughout the process.

The specifics regarding road access to your villa are outlined comprehensively in your land agreement. Rest assured, your land is guaranteed perpetual right of way.

In the unlikely event that the project does not proceed as planned, rest assured that you retain ownership of a valuable piece of land with a picturesque lake view and full road access. Your options remain flexible, allowing you to continue building your villa or explore the possibility of selling the land. The project carries minimal risk owing to its unique structure.

2. Income and Operations

When you’re not using your property, it reverts to the Eco-Stay, managed by the hospitality operator, who rents out vacant rooms on a daily basis. Net income from the day is shared among all rooms in the common pool, regardless of guest occupancy.

The grapes from your vineyard will be purchased by the Good Earth Winery, and the profits will be distributed among the Investors.

No, the villa cannot remain unused. If not used by you, it is automatically included in the Eco-Stay’s common pool. Permanent or semi-permanent caretakers cannot be stationed at the villa.

Mostly you could turn up, but it’s best to book a few days in advance via the tailor-made mobile app. For in-demand holidays, it’s better to book well in advance. The daily occupancy ratio will be displayed on the app, so you’ll have enough notice on when to book.

The project is designed as a holiday property concept, with an expected average annual owner occupancy of around 60 days. That said, a maximum of 182 days a year is allowed. However, if you limit your occupancy to two lettable units throughout the year, while making the other two units available to the Eco-Stay, you stay within the 182-day limit, and you may occupy your villa throughout the year.

Note: Each three-bedroom villa comprises four lettable units: the living room and three bedrooms. Bedrooms can also be rented individually if desired.

The Designated Partners of the LLP appoint the hospitality operator. The operator handles bookings, marketing, housekeeping, maintenance, etc., for a fee.

The Designated Partners consists of three members – two permanent and one rotating – chosen from among the remaining partners. They manage Eco-Stay operations and report to the partners.

 

Partners have the right to inspect the books, call special meetings (with sufficient consent), and oversee their rights’ safeguarding.

The clubhouse operations will be overseen by the designated Operator, with net income from the coffee shop and other activities distributed among the partners. Additionally, the Spa will be entrusted to a third-party operator, and the resulting rental income will also be shared among the partners.

The winery operates as a separate entity, solely owned by Good Drop Wine Cellars Pvt Ltd, and maintains financial and legal independence from the Eco-Stay. Income generated within the Eco-Stay is exclusively distributed among its partners and is not shared with the Winery.

3. Villa design and maintenance

White Goods: Your villa is equipped with a range of white goods, including a hob, chimney, refrigerator, microwave cum grill, washing machine, outdoor barbecue grill, TVs, mini refrigerators, and mini wine fridges in each bedroom.

Kitchen: An open kitchen is provided for your exclusive use. The Eco-Stay guests are not permitted to cook there. They have the option to dine at the restaurants or order room service, and access to your kitchen cabinets is restricted to maintain privacy.

Storage Availability: Each bedroom includes lockable cupboards for your personal belongings, with an additional owner’s storage room for any extra items.

Additional Facilities: Your villa offers individually accessible rooms with card systems, central air conditioning, a fire alarm system, and Wi-Fi connectivity.

Pool and Jacuzzi: The pool, measuring 500 sq ft, comes with a jacuzzi feature.

Parking Arrangements: Each villa provides four parking spots, catering to both your needs and those of your guests.

Your villa is fully furnished as per the “key in hand” concept, including all furnishings, white goods, crockery, cutlery, curtains, towels, and linens, leaving no scope for additional furnishings.

Layout changes or customisations are not permitted, for guest experience standardisation. That being said, our interior designer will conduct a workshop with you to understand your personal tastes and preferences and design a unique look for you.

No, daily housekeeping and all maintenance, minor or major, are taken care of by the Operator. Maintenance costs vary depending on villa occupancy – occupied or vacant. Actual costs will be determined closer to the property’s opening.

You won’t need to personally handle renovations; they are managed as needed, under the discretion of the Designated Partners. Costs for renovations will be funded through a “major maintenance fund,” established by deducting a specified percentage (yet to be determined) from your monthly income.

Your land will be precisely marked with visible milestones. To preserve the uninterrupted landscape of vineyards and gardens, fencing is deliberately avoided. Instead, we will ensure ample hedging and trees to safeguard your privacy.

4. Property Facilities and Amenities

The Eco-Stay encompasses the villas, the vineyard, the clubhouse (inclusive of the spa), the reception area, and the back-of-house facilities, which house services like housekeeping, laundry, maintenance, and more.

Exclusive to partners, their guests, and Eco-Stay guests, the clubhouse features a 24-hour coffee shop, sailing, canoeing, spa and salon, fully equipped gymnasium, indoor games, a kids’ playroom, and more. Additionally, the winery offers tennis and pickleball courts and a golf putting green.

Certainly! Partners enjoy access to discounts and exclusive offers at the winery complex. It encompasses not only the wine production facility but also various amenities, including restaurants, the wine lounge, barrel cellar, bottle shop, merchandising store, organic produce kiosk and fromagerie. Additionally, it features a range of recreational facilities such as tennis courts, a golf putting green, an organic farm, and an amphitheatre.

Furthermore, the winery offers a service of your very own personalised Good Earth Wine label.

Annually, if you choose, a barrel of wine bearing your name will undergo maturation in our cellar. Once ready, the wine is bottled and proudly bears both the Good Earth brand and your name, serving as a testament to your onwership and the grapes from your vineyard. This service is available to our partners at an exceptionally affordable rate, exclusively enhancing your wine experience.
